The UMC Board has received feedback from stakeholder groups indicating that they would appreciate additional time and opportunity for consultation in order to adequately consider central concerns with the documents of the proposed new constitution in advance of the August 21 AGM.

The current Board of the UMC has been working on this process for more than one year, in addition to the efforts of previous Boards, and had hoped to have a consensus on the next steps to ensure that the federal not-for-profit registration requirements are met for the October 17, 2014 deadline, so as to avoid dissolution of the Museum and its branches.

Our Board has considered the concerns that have been raised and are proposing that a special UMC meeting be called for summer of 2014 where the Articles of Continuance and By-laws will be the central order of business. Prior to the special meeting there will be consultative process where members and stakeholders will be requested to submit proposals/commentaries/suggestions for the renewed corporate organization. These submissions will be used to create a draft to be circulated spring of 2014.

The replacement resolution is attached.
